DUTIES AND SOLUTIONS FOR DIRECTORS

When a company approaches financial distress, the law imposes special duties on directors to safeguard the interests of creditors. Directors must be aware of such duties to mitigate the risks of personal liability. Directors should also be aware of the various commercial and legal strategies that can be deployed to revive a company back to financial health.

This seminar will cover:

  • Duties of directors of companies in insolvency or on the verge of insolvency
  • Principles of operational and financial restructurings
  • Restructuring toolkit aimed at restoring a company to financial health.

Ng Wai King
Chairman & Managing Partner, WongPartnership LLP


Mr Ng Wai King is the Chairman and Managing Partner of WongPartnership LLP. An M&A and private equity lawyer, he has worked on a number of high profile and complex transactions including the merger of the offshore marine businesses of Keppel and SembMarine; the restructuring by CapitaLand and CLA; the demerger of SembMarine from SembCorp Industries; the merger between Fraser Commercial Trust and Fraser Logistic & Industrial Trust; CapitaLand’s acquisition of Ascendas-SingBridge; privatisation of GLP by the Nesta consortium; Temasek’s privatisation of SMRT; Walmart’s acquisition of Flipkart in India; Blackstone’s acquisition of Croesus; KKR’s acquisition of Goodpack, Unisteel and MMI, and TCC/Thai Beverage’s takeover of F&N. Mr Ng also serves as a director on the Monetary Authority of Singapore, National University of Singapore Board of Trustees, Singapore Institute of Legal Education and Wah Hin & Company.

Mr Lionel Leo is a Partner in the Restructuring & Insolvency and Special Situations Advisory Practice in WongPartnership LLP. He routinely acts as lead counsel for a variety of clients, including financial institutions and multinational companies, in court and arbitral proceedings, with a focus on complex, high-value and cross-border matters that involve restructuring, insolvency, banking and finance. His recent significant mandates include acting for the liquidators of Three Arrows Capital Limited, a US$10 billion cryptocurrency hedge fund that went bankrupt, and the interim judicial managers/liquidators of Hodlnaut Pte Ltd, one of Singapore’s leading crypto asset borrowing and lending platform prior to its collapse.


 

Lim Lian Hoon

Managing Director, AlixPartners

Mr Lim Lian Hoon is a Managing Director at AlixPartners and has over 30 years’ experience in the industry. His spent eight years managing operations, followed by management consulting based in Hong Kong.  He then spent several years as part of a management team tasked with turning around a $9 billion transportation and logistics group before joining AlixPartners in 2014. He has in-depth experience in manufacturing, engineering and transportation across Asia from India through to Japan covering most aspects of rapid EBITDA improvement in operations. This includes turnarounds involving carve outs, asset sales and/or financial restructuring both in and out of court.  He has acted for both debtors and creditors in distress situations involving either building credible “go forward” business plans for debtors, or overseeing implementation on behalf of creditors.
