LEDM - Listed Entity Director Programme (Mandarin)

LED Mandarin
The Listed Entity Director (LED) Programme supported by the Singapore Exchange is a pre-requisite course for first-time appointees to the boards of listed companies. It aims to equip participants with the essential skills and knowledge required to execute their roles as directors effectively. The programme covers a range of regulatory, compliance and corporate governance matters specific to listed companies in Singapore.

 

This Mandarin version of the core LED modules (LEDM) is designed for senior management and board directors who are fluent in Mandarin. The programme comprises five core LEDM modules which must be taken in its entirety. Participants cannot register for individual modules. Please note that the CPD hours and the certification of completion will be granted only upon successful completion of all the modules.
 

Course Objectives:

  1. Provide an overview of the regulatory environment of a listed company in Singapore, with a focus on the Companies Act, SGX Listing Manual and Code of Corporate Governance.
  2. Discuss the roles and responsibilities of a listed entity director, in the current regulatory environment.
  3. Describe the roles and functions of the board and main board committees.
  4. Examine relevant case studies in reference to the different functional roles of the board, for both conformance and performance.

Format: 

The programme will be delivered as a live webinar. It will include presentations with case studies, followed by panel discussions and Q&A.

A notification email with the webinar link will be sent to registered participants two days before the first LEDM session. Participants are advised to log in 10 minutes before the start of each session.

 
LEDM1 – Listed Entity Director Essentials

Listed entities are now subject to a wider range of compliance requirements following the latest amendments to the Companies Act, SGX Listing Rules and Code of Corporate Governance. This first module in the Listed Entity Director Programme guides participants on the general compliance obligations faced by companies and their boards. It sets out the personal responsibilities of directors and clarifies how compliance and governance requirements apply to individual directors and the board collectively.

LEDM2 – Board Dynamics

An effective board results from healthy board dynamics. Ensuring an appropriate mix of personalities and expertise, facilitated by a culture of mutual respect, trust and constructive dissent, is important. This module uses management concepts and the integral boardroom model to explore boardroom behaviours and how directors can work more effectively in the best interests of the company. It highlights the critical role and attributes of an effective chairperson, and covers the kind of relationship that an effective board should have with management.

LEDM3 – Board Performance

This module explores into how boards can effectively balance their responsibilities to drive long-term value creation for the company. It provides insights into critical governance areas, including the board’s “tri-lemma” – balancing conformance, performance and transformation – while shaping strategic vision, fostering innovation and ensuring effective execution. Building on these foundations, the module also delves into how evolving business models, organisational capabilities and company culture influence board effectiveness, alongside key considerations in financial strategy and mergers and acquisitions.

LEDM4 – Stakeholder Engagement

Stakeholder engagement is fundamental to good corporate governance. This module covers the board’s duties in relation to a broad range of stakeholders (beyond just shareholders) of the enterprise. It briefly addresses the regulatory requirements for
sustainability reporting and stakeholder engagement in the context of the sustainability agenda, which is covered in greater depth in the LEDM9 module. Additionally, the module examines the duties and responsibilities of the board towards shareholders, including corporate reporting, general meetings, investor and media relations, and crisis management.

LEDM9 – Environmental, Social and Governance Essentials

A climate reporting and assurance roadmap has been established by the Accounting and Corporate Regulatory Authority (ACRA) and Singapore Exchange (SGX) based on international reporting standards. Listed entities are now subject to compliance requirements as stated in the amendments to the SGX Listing Rules on climate disclosures. This module will delve into the board’s role and director’s responsibilities in sustainability governance. By highlighting the Sustainability Reporting Advisory Committee (SRAC) recommendations and SGX Listing Rules on sustainability reporting, this session provides a foundation for board directors to drive sustainability compliance and integrate environmental, social and governance (ESG) factors into their business strategy.
