Course description

The Nominating Committee (NC) deals with mandatory board and directorship matters that direct and control a company. This module describes the NC structure, composition and authority. The various aspects of board appointments and directorships are addressed, including the types of directors, board renewal and succession planning, board composition, diversity, the selection and appointment of directors, director independence and director development. Board performance evaluations and the use of corporate governance benchmarks are also covered.

Course objectives

  1. Understand the role and responsibilities of a director appointed to the NC.
  2. Highlight key considerations and rules regarding board composition and diversity.
  3. Appreciate the leading practices and requirements relating to board evaluation, succession planning and director development.
  4. Recognise the key disclosure requirements related to board practices and directorship.
