This course seeks to provide subsidiary board directors with an understanding of the construct of boards in subsidiary and joint venture companies and the unique governance issues involved. The presenter will explain the principle of separate legal entity and share case studies to highlight practical and legal issues that may arise in boards of subsidiary entities. The roles and responsibilities of subsidiary boards related to corporate governance, best practices and tips on managing sustainability reporting, cross border and political issues are explained in the course.

Mr Bernard Lui is a partner at Morgan, Lewis & Bockius LLP and a director at Morgan Lewis Stamford LLC. Mr Lui focuses on mergers and acquisitions (M&A) and corporate finance, including initial public offerings (IPO) and placements, as well as post-IPO corporate governance and compliance issues. A registered professional with the Singapore Exchange (SGX), he supervises companies listed on the Catalist board and serves as the leader of the firm’s Singapore corporate and business transactions practice. With 30 years of experience, Mr Lui has managed numerous significant M&A and corporate finance transactions across different sectors. His deal work has been recognised by Chambers Global, Chambers Asia-Pacific, The Legal 500 Asia Pacific, IFLR1000, and asialaw Leading Lawyers.
