Effective governance is essential throughout every phase of a company’s development. The structure and operation of startup boards may contrast with boards of large corporations. In the early stages, startups typically do not require formal committees; instead, they benefit from having a small group of agile decision-makers who can act swiftly and efficiently. How can startup companies draw the balance between growth and governance, and how can a startup board navigate the transition from early stages to listing? This session explores the unique dynamics, expectations and practices of startup board governance, highlighting the different priorities vis a vis large corporates.

Lim Kuo-Yi
Co-founder and Managing Partner, Monk’s Hill Ventures


Mr Lim Kuo-Yi is co-founder and managing partner of Monk’s Hill Ventures, an early-stage venture capital firm in Southeast Asia. He has led investments in companies including Ninja Van, Padlet, KKday, Delos, Rainforest, UrbanMetry, Hypefast, GoGet and Cinch. Mr Lim serves as a board member of SG Growth Capital, Great Eastern Holdings and the Singapore Venture and Private Capital Association. He is also a member of the technology council at the Global Private Capital Association. He began his career as a consultant at the Boston Consulting Group.



Wan Kum Tho
Managing Director APAC, Singtel Innov8

Mr Wan Kum Tho is managing director, APAC, at Singtel Innov8, where he oversees investment activities in the region. He has more than 25 years of experience in venture capital and private equity, including senior roles at Heliconia Capital Management, UOB Venture and Vertex. He has served on the boards of companies across Asia and the US, and was previously a finance, strategic planning and administration lead at a technology start-up in Asia. Mr Wan is an Adjunct Associate Professor at the National University of Singapore Business School.



Aaron Tan
Founder CEO, Carro

Mr Aaron Tan is founder and chief executive officer of Carro, an online platform for buying and selling cars in Asia Pacific. He was part of the founding team of Singtel Innov8 Ventures, where he invested in more than 100 companies globally. Mr Tan was named Tech Leader of the Year 2024 by the Singapore Computer Society and an EY Entrepreneur of the Year 2021. He is a founding member of Singapore’s startup ecosystem Blk71 and actively mentors aspiring tech entrepreneurs in the region. He is a graduate of SMU and Carnegie Mellon University School of Computer Science.
