The recent case of a director held liable by the High Court to pay a staggering sum to his company’s liquidators for breaching his duty of care, skill and diligence grabbed headlines. Other directors have similarly found themselves in trouble with civil suits or criminal charges brought against them. What are some red flags and how should directors deal with them to avoid legal pitfalls? How can directors take reasonable steps to advance the interests of the company and its shareholders, in light of escalating risks and responsibilities? This panel discussion by experienced directors and senior professionals will dissect the broad lessons to be gleaned from recent cases of directors facing claims of alleged breach of directors’ duties as well as those who have been charged for breach of our company and securities laws.

Ng Wai King
SID Council member


Mr Ng Wai King is the Chairman and Managing Partner of WongPartnership LLP. An M&A and private equity lawyer, he has worked on a number of high profile and complex transactions including the merger of the offshore marine businesses of Keppel and SembMarine; the restructuring by CapitaLand and CLA; the demerger of SembMarine from SembCorp Industries; the merger between Fraser Commercial Trust and Fraser Logistic & Industrial Trust; CapitaLand’s acquisition of Ascendas-SingBridge; privatisation of GLP by the Nesta consortium; Temasek’s privatisation of SMRT; Walmart’s acquisition of Flipkart in India; Blackstone’s acquisition of Croesus; KKR’s acquisition of Goodpack, Unisteel and MMI, and TCC/Thai Beverage’s takeover of F&N. Mr Ng also serves as a director on the Monetary Authority of Singapore, National University Board of Trustees, Singapore Institute of Legal Education and Wah Hin & Company.

Adrian Chan
Vice-Chair, SID


Mr Adrian Chan is Head of Corporate at Lee & Lee. He serves on the Legal Service Commission and previously served on the board of the Accounting and Corporate Regulatory Authority and the council of the Law Society of Singapore. He is an independent director on the boards of several listed companies on the Singapore Exchange and has been appointed to the SGX Catalist Advisory Panel to review Catalist Sponsor and Registered Professional applications. He has also been appointed to Singapore Management University’s Enterprise Board.


Grace Ho
Independent Director, MTQ Corporation


Ms Grace Ho serves as an independent director on the boards of Singapore-listed MTQ Corporation and YTL Starhill Global REIT Management, where she is also the board sustainability lead. She is also an independent director of SQL View and adviser on the National Library Board’s Digital Services and Customer Experience council. She is a former independent director at NTUC Link. In addition, Ms Ho is a consultant and trainer with GoImpact Capital Partners, where she engages with corporates, business associations and education institutions to accelerate the development of sustainability education and advocacy. With more than 20 years of experience in technology and multinational corporates, she was among the Singapore Top 100 Women-in-Tech announced by the Singapore Computer Society in 2021. 


Irving Low
Partner, Head of Priority Client Coverage, KPMG Singapore


Mr Irving Low is a partner in KPMG in Singapore and has been with KPMG for over 31 years, having worked in both the London and Singapore offices. His key area of practice is in corporate governance, where he is also the KPMG APAC Leader for Board Advisory Services. He has undertaken numerous corporate governance reviews for both public and private organisations. He is a frequent invited guest and speaker at board meetings and presentations as well as public forums on corporate governance. Mr Low sits on the boards of the Singapore Tyler Print Institute and Singapore Theatre Company (previously Singapore Repertory Theatre) and the advisory board of the School of Accountancy of Singapore Management University. In addition, he is a member of CPA Australia subcommittee for the Public Sector.


Ong Jia Ni
Vice President, Listing Compliance, Singapore Exchange Regulation


Ms Ong Jia Ni joined Singapore Exchange Regulation (SGX RegCo) in 2009 and is Vice President of Listing Compliance. In her role, Ms Ong leads the investigation team that enforces SGX Listing Rules. Her previous role and experience at SGX RegCo spanned from market surveillance, investigation into trading misconduct to the supervision of listed companies, sponsors and registered professionals. Prior to joining SGX RegCo, she was a senior investigator with the Commercial Affairs Department.

 

Soh Gim Teik
Independent Director


Mr Soh Gim Teik advises corporations through his firm, Finix Corporate Advisory LLP, and has many years of experience in strategic management, corporate advisory, governance and finance. He was previously an executive director and CFO of a listed company and has broad boardroom experience in the region. He is the Chairman of Farrer Park Hospital and serves as the audit committee Chairman of Wilmar International, A*STAR, MOH Holdings and a number of other public and government-owned companies including charitable and nonprofit organisations. He holds a Bachelor of Accountancy degree from the University of Singapore and was awarded the Public Service Medal (PBM) in 2019 for his contribution to the healthcare sector.

Wong Su-Yen
SID Immediate Past Chair


Ms Wong Su-Yen is the immediate past chair of SID and she serves on the boards of several listed companies, family businesses, high growth startups, and government-linked organisations in Asia and North America. She is lead independent director at Yoma Strategic Holdings, and a board director at First Resources, Kemin Industries and Infocomm Media Development Authority. She is Chair of James Cook University Singapore and an Adjunct Professor of Leadership at National University of Singapore’s Business School.
