Board and Director Fundamentals
This course provides a broad-based understanding of what a corporate director needs to know with regards to his or her duties, responsibilities and liabilities, and how he or she can be effective as a director. The course is designed for directors of companies incorporated under the Companies Act in Singapore.

 

Course objectives:

  1. Define statutory and fiduciary duties and responsibilities of directors.
  2. Provide an overview of the regulatory environment and the corporate governance landscape in Singapore.
  3. Highlight the critical elements of financial and other disclosures needed.
  4. Describe the key components of effective board leadership.
  5. Recognise the balance between performance and compliance.


The course will cover the following areas:

  1. The directorship landscape and regulatory environment.
  2. Evolving legislation affecting all companies.
  3. Director duties and responsibilities.
  4. Due diligence, liabilities and rewards.
  5. What makes an effective board.

SPEAKERS

Vincent Leow
Partner, Allen & Gledhill


Mr Vincent Leow’s practice focuses on banking, employment and shareholder disputes as well as investigations. He has substantial experience in acting for banking and financial institutions, institutional and retail investors, major corporates and regulators on complex and contentious matters. He regularly advises clients on regulatory and risk management issues. Mr Leow is consistently recognised for his expertise in the areas of dispute resolution and labour and employment by leading legal publications, including The Legal 500 Asia Pacific and Benchmark Litigation Asia Pacific where he is recommended as a “Leading Individual” and described as “one of the market leaders”.


Lee Tze Shiong
Director Transformation and Quality, CLA Global TS

Mr Lee Tze Shiong has more than 30 years of audit experience, most of which were with large international audit firms. Prior to joining Nexia TS, he was the Divisional Director of the Public Accountancy Division of the Accounting and Corporate Regulatory Authority (ACRA). In his previous appointment, he spearheaded the small and medium sized enterprise audit group in one of the big four accounting firms in Singapore. He was involved in the audit of listed and multinational groups, initial public offerings and other audit advisory engagements, and has worked in different overseas locations.

Lim Ju May
Technical Director & Assurance Principal, CLA Global TS

 
Ms Lim Ju May has over 23 years of audit and technical experience. Prior to joining Nexia TS, she headed the technical division at Institute of Singapore Chartered Accountants (ISCA) where she pioneered numerous initiatives. She has a wealth of experience in the accounting and auditing profession including over 12 years with several Big Four accounting firms managing diverse portfolios of assurance and special work assignments. She also authored ISCA’s Micro Accounting Model and other ISCA publications such as CFOs for Sustainability Reporting Roundtable Report, Fueling Sustainable Ecosystems – Insights From The Financial Services Sector, Leases Roadmap, Technical Bites, and many others.


Wilson Chew
Former Council Member, SID


Dr Wilson Chew is Strategist. He works with boards and business owners to formulate growth strategy and execution plans over 20 years. Dr Chew is the former Partner for Strategy at PricewaterhouseCoopers in Singapore. There, he led the strategy team in the Entrepreneurial and Private Clients practice of the firm. Dr Chew served on the boards of Swee Hong Limited, Singapore Institute of Directors and The National Arthritis Foundation. He is an advisor for the Wharton-SMU-IBM Business & Industry Insight Program and lectures at the University’s Lien Centre for Social Innovation. Dr Chew has authored three books; holds a Doctorate from the University of South Australia, an MBA from the University of Strathclyde, and completed the Board Leadership Program at Harvard Business School.  He is presently reading law at the Singapore University of Social Sciences.
