BDF - Board and Director Fundamentals

Board and Director Fundamentals is an ideal introduction to being a Director in Singapore. Whether you work in private companies or are new to listed entities, this course provides key information on the regulatory environment in Singapore and a broad understanding of the main statutory and fiduciary duties and responsibilities of Directors. It delves into the fundamental knowledge required to function as a Director and includes an overview of the corporate governance landscape in Singapore. It highlights some of the critical elements of disclosure including financial statements to monitor the performance of a company and other aspects of the board and director’s responsibility such as strategy, culture and people.

Bernard Lui
Partner, Morgan, Lewis & Bockius LLP 

Bernard is a partner at Morgan, Lewis & Bockius LLP and also a director at Morgan Lewis Stamford LLC, a Singapore law corporation affiliated with Morgan, Lewis & Bockius. 

With more than 25 years of experience, Mr Bernard Lui focuses on mergers and acquisitions (M&A) and corporate finance, including initial public offerings (IPO) and placements, as well as post-IPO corporate governance and compliance issues. A registered professional with Singapore Exchange (SGX), he supervises companies listed on the Catalist board. Mr Lui has managed a number of significant M&A and corporate finance transactions across a broad spectrum of sectors. In line with these transactions, he has developed a strong reputation as a deal-maker who can deliver clients’ objectives in an innovative style regardless of complexities. His deal work has been recognised by Chambers Global, Chambers Asia-Pacific, The Legal 500 Asia Pacific, IFLR1000, and Asialaw Leading Lawyers.

 

Lim Ju May

Ms Lim Ju May has over 23 years of audit and technical experience. Prior to joining Nexia TS, she headed the technical division at Institute of Singapore Chartered Accountants (ISCA) where she pioneered numerous initiatives. She has a wealth of experience in the accounting and auditing profession including over 12 years with several Big Four accounting firms managing diverse portfolios of assurance and special work assignments. She also authored ISCA’s Micro Accounting Model and other ISCA publications such as CFOs for Sustainability Reporting Roundtable Report, Fueling Sustainable Ecosystems – Insights From The Financial Services Sector, Leases Roadmap, Technical Bites, and many others.


Wilson Chew
Managing Partner, JP Wilson
Former Council Member, SID

Dr Wilson Chew spent over 20 years in Enterprise Growth and Strategy, served over 200 entrepreneur and family led companies, led more than 140 strategy engagements including 12 public listings in Asia and two national scale-up initiatives with the Singapore Government. Dr Chew is the Managing Partner at JP Wilson, a growth strategy firm for private clients. He was the former partner for strategy at the Entrepreneurial and Private Clients practice of PwC. He  is the Chairman of Fortrec Group, the former Deputy Chairman of National Arthritis Foundation and Independent Director of Swee Hong Ltd. Dr Chew holds a Doctorate Degree in Business Administration and has completed The Executive Leadership Programme on Corporate Board Leadership at Harvard Business School. His work on strategy is widely published in three books and various Tier-1 journals. He also served as adviser for the Wharton-SMU-IBM Business & Industry Insight Program and lectures at SMU’s Lien Centre for Social Innovation.
