Course Title: SID-RHTLaw Taylor Wessing-How Should Board Directors Respond to Shareholder Activism
Course Description:

Session 1 (RHTLaw Taylor Wessing LLP)

Shareholder activism has increased in recent years and in particular following the financial crisis. Activists' agendas can include changing corporate strategy, addressing management, improving performance and influencing corporate actions. Activist shareholders are supported by interest groups and investor protection committees, which generate a wealth of information about shareholder rights for investors. How should board directors respond?

The following topics will be addressed:

  • Recent trends in shareholder activism
  • Understanding the shareholder activist's armoury
  • Defences for the target
  • Types of stakeholders involved
  • Hostile takeovers
  • Recent cases in Singapore

Session 2 (Deloitte & Touche LLP)

Recent instances of shareholder activism have resulted in some of the world's largest companies having to cave to demands and pressure from the rank-and-file shareholders. In this new environment of 24 hour news channels and social media, it had never been easier for shareholders to connect and unite, and never more difficult for companies to handle such challenges. The speaker who has experience in providing governance, internal control and compliance advisory services to government ministries, statutory boards and listed companies will in particular speak about:

  • Perspectives on the practical implications of rising shareholder activism on companies in Southeast Asia.
  • Preparing companies for the potential impact of shareholder activism.
