The Growing Enterprise Management (GEM) Programme is the first of its kind that focuses on managing growth effective governance for listed companies. The Programme is designed to provide a practical framework and principles based guidance on evaluating and improving governance. Completion of the modules within the GEM Programme will provide board directors (including executive, non executive and independent directors) and senior management team of listed companies with the tools to evaluate the current governance process; to provide strategic direction and guidance to management; to ascertain that enterprise risks are managed appropriately, and to verify that resources are used responsibly. Directors and senior management need to realize that good governance is a way of life; it has to be an attitude that permeates the entire company, supported by well-thought-out processes and practices that set the tone of how the company is run.
Upon completion of the four (4) modules of the GEM Programme, the attendee will receive a Certificate from the Singapore Institute of Directors.

This module examines the initiatives that key players including controlling shareholders, board directors, especially independent directors and senior management should take to create an effective board for the best interest of all stakeholders.
This module covers the technical, regulatory and accounting aspects of changes in capital, acquisitions & realizations, and takeover code. The module also covers planning for M&A, best practices in dealing with related parties transactions and interested parties transactions.
The objective of this module is to provide a practical and systematic approach to guide the Board in examining risks, design control and risk management processes to monitor and mitigate the impact of these risks on the business and financial viability of the enterprise.
Participants will learn the use of a systematic approach to understand the risks associated with the company's business model, revenue model, resources and capacity, capital and funding structure, management structure and business processes, and the techniques to develop a set of key performance indicators that can serve as red flag to monitor and measure risks.
This module provides senior management and board directors, including independent directors with practical guides for strategic and financial planning, and demonstrates how strategic and financial planning can contribute to effective corporate governance.
